Oakwood Cemetery ownership information 2002 z , CGD AGREEMENT This is an Agreement (the "Agreement") entered into by and between the City of Huntsville, Texas, a home rule municipal corporation situated in Walker County Texas hereinafter referred to as "City", and Oakwood Cemetery Association of Huntsville, Texas,a Texas non profit corporation organized for the purposes of acquiring,owning,and maintaining a public cemetery or cemeteries within the corporate limits of the City of Huntsville, Walker County, Texas, hereinafter referred to as Oakwood", for the purpose of conveying the assets of the cemetery to the City, upon Court approval, so that the City shall operate, own and maintain the cemetery. WHEREAS Oakwood owns certain properties commonly referred to as "Oakwood Cemeteir comprised of"Old Cemetery" and"New Cemetery' as more fully described in Exhibit` 1"attached hereto and incorporated herein,theproperty referred to as the Adickes Addition as more fully described in Exhibit"2"attached hereto and incorporated herein.the property referred to as the Mayes Addition as more fully described in Exlubrt 3 11 attached hereto and incorporated herein, and the property referred to as the "Rawley Rather Powell Memorial Park Addition" subject to that portion of the Rawley Rather Powell Memorial Park Addition reserved to Ben H. Powell as more fully described in Exhibit"4" attached hereto(subject to the covenants and conditions contained in the instruments of conveyance) and incorporated herein (hereinafter referred to as "Oakwood Cemetery" or "Cemetery"); and WHEREAS, if approval is granted by the District Court of Walker County, Texas, Oakwood will liquidate and transfer all of its assets to the City subject to the conditions set forth herein, so that the City can assume the responsibility of operating, owning and maintaining the Oakwood Cemetery; and WHEREAS, City is willing to accept such assets and assume the responsibility of operating, owning and maintaining the Oakwood Cemetery; NOW,THEREFORE,the parties enter into this Agreement pursuant to the following terms, and conditions: 1. Oakwood,or members or directors of Oakwood, will file suit in District Court of Walker County, Texas, seeking an Order of the District Court of Walker Counttyy allowing it to dissolve and to transfer the assets of Oakwood Cemetery Association of Huntsville to the City of Huntsville, pursuant to Article 1396-7.06, et seq. of the Texas Non Profit Corporation Act as in effect at all relevant times. 2. City represents that it is an organization qualified to receive tax exempt contributions pursuant to Title 26, Section 170(c)(1 )or(2) U.S.0 and such contribution is being used for strictly public purposes. Subject to the approval of the Court, Oakwood will convey or transfer all'the real roperty with improvements that it owns in Oakwood Cemetery tc the City by quit claim deed. All other assets, equipment and tools, cash and investments in the approximate amount of$417,000.00 less accounts payable and expenses of liquidation,shall be transferred to the City. A list of the specific assets of Oakwood is contained in Exhibit "5" attached hereto and incorporated herein. Oakwood will pay all accounts payable, expenses of liquidation or debts billed to Oakwood prior to the transfer of the above- referenced assets. Any unpaid bills received after the date of transfer will be promptly forwarded to City for payment, and City will timely pay same. City assumes responsibility for theayment of all bills, assessments, and taxes accruing or billed to Oakwood after the date ofptransfer. 3. City shall assume all responsibility for the operation and maintenance of Oakwood Cemetery from the date of the transfer and conveyance of the assets of Oakwood to the City as set out in Section 20, and shall further comply with any Order of the Court authorizing such transfer. 4. An endowment fund in an amount not less than $350,000.00 shall be established from the cash and investments transferred from Oakwood. The City may apply any realized net gain or realized net appreciation from the endowment fund to Oakwood Cemetery maintenance, it being the parties intention that Section 163.004(a), Texas Property Code shall not apply,this instrument having expressed the donors' intention that unrealized gain and unrealized appreciation not be expended as authorized by Section 163.004(d), Tex. Property Code. City shall take the balance of the cash and investments (exclusive of the endowment amount of$350 000.00)that it receives from Oakwood and use it to repair and improve the Cemetery including, but not limited to, repairing and replacing fencing, trimirung trees and shrubbery removing dead trees and shrubbery,mowing and cleaning the grounds of the Cemetery,anc resetting ave markers and tombstones. The balance of cash and investments (exclusive of the endowment fund) will be used to offset the costs of adding a maintenance crew for the Cemetery. In no event shall the City allow the realized net gain or realized net appreciation from the endowment fund to be expended for purposes other than the maintenance,improvement and upkeep of the cemetery properties(and plots contained therein) conveyed by Oakwood as described herein. In no event will the corpus of the endowment($350,000.00)be invaded. Additions to the endowment fund established herein will a governed by the "gift instrument" governing such donation, or absent such an instrument, such additions will be subject to the terms of this Agreement. 5. City agrees to create a maintenance crew that will be dedicated towards the repair and maintenance of the Cemetery and shall attempt to maintain the Cemetery in a manner equal to or better than prior owner's standards. 6. City and Oakwood will cooperate with one another to bring the records of the cemetery association up-to-date and to develop an accurate record of burial plots and ownership of plots. 7. City shall create a cemetery advisory board to assist in raising contributions for the cemetery endowment fund and capital improvements to the Cemetery, and to make other recommendations to City concerning Cemetery matters. 8. Oakwood shall maintain a general liability policy acceptable to the City for a minimum of four (4) years after the date of transfer to the City, and will add the City as a named insured under the policy prior to conveying the Cemetery to the City. City releases,indemnifies and holds harmless Oakwood,its officers employyees agents and representatives, including, but not limited to, Robert McCann, C�arles Smiler, Jr., Paula S. Moak, Jerry Moorer, Ivy Moss, and Julia Woods, from and against all claims by City or any third party for actions, claim, demands or suits,payments, losses,judgments or expenses, including attorneys fees, incurred �y City or Oakwood, its officers ana employees,agents,and representatives,including but not limited to Robert McCann,Charles 2 �I Smither, Jr., Paula S. Moak, Jerry Moorer, Ivy Moss, and Julia Woods, WHETHER CAUSED IN WHOLE OR IN PART BY THE NEGLIGENCE OF OAKWOOD, McCann, Smither, Moak,Moorer, Moss or Woods, whether accruing, arising or asserted prior to or after the date of transfer. Oakwood represents that is knows of no present or pending claim as of the date of execution of this agreement. City covenants that (provided Oakwood maintains the insurance policy referenced above) it will not sue any present or former agent, officer, em 1oyyee or representative of Oakwood, including, but not limited to Robert McCann, Canes Smither,Jr.,Paula S.Moak,Jerry Moorer Ivy Moss and Julia Woods for any act or omission of the foregoing in any manner related to the transfer of assets of, or operation of, Oakwood Cemetery Association of Huntsville, or the cemetery, or in any manner related to their service as a director of Oakwood Cemetery Association. 9. The parties recognize that the City shall not discriminate against any person because of race, color, religion, ethnic affiliation, gender, national origin, age, disability or any other status or classification in accordance with state and federal laws when selling a plot or authorizing the internment of an individual in the Cemetery. 10. City covenants and agrees to assume the operation and maintenance of the Cemetery. City will not convey warranty deeds to cemetery plots, but will issue a "Certificate of Ownership" evidencing the purchaser's rights in a particular plot of land. City shall recognize previous deeds conveyed by Oakwood,but will not assume the responsibility for adjudicating property rights or determining whether a certain plot or tract of land in the Cemetery should have been conveyed by deed. 11. City and Oakwood agree that the current maintenance contractor for the Cemetery will be given at least sixty(6 days notice that the contract is being terminated. 12. In accepting the Cemetery property, City agrees to: a. Preserve the open spaces and not allow grave sites at(1) the Steamboat Home Site in the Adickes Addition , and(2)the"Powell Alleyway"(see Exhibit"4") and the L.Rather Powell Memorial Park Addition; b. Not sell any more grave sites in the Oakwood and Adickes Additions to the Cemetery; and c. Comply with all restrictions and reservations applicable to the property conveyed. 13. Neither this Agreement nor any rights hereunder may be assigned,transferred,pledged, or encumbered without prior written consent of both parties. 14. This Agreement contains the entire agreement of the parties with regard to the subject matter hereof. Any verbal or written agreement not contained or referenced in this Agreement shall have no force or effect. The parties hereto recognize that no representation or inducement has been made to either party.to enter into this agreement other than the agreements and representations set forth herein. 15. This Agreement shall be performed in Huntsville,Texas and if legal action is necessary to enforce this Agreement, exclusive venue shall lie in Walker County Texas. The terms and conditions of this Agreement shall be interpreted according to the laws of the State of Texas. 3 16. In the event that any one or more of the provisions contained in this Agreement shall for anreason be held to be invalid, illegal or unenforceable in an respect such invalidity y g . . Y illegality,or unenforceability shall not affect any other provision hereof,anJthis Agreement shall be considered as if such invalid, illegal, or unenforceable provision had never been contained in the Agreement. 17. Any notice required or contemplated by this Agreement shall be given in writing to the (i arties at their addresses set forth below. Such notices shall be deemed to have been given ) if by registered or certified mail return receipt requested, on the third business day after it is deposited in the U. S. Postal Service, or (ii) if by FAX or telecopier, when actually received by the party to whom it is addressed, provided a copy is sent by registered or certified mail, return receipt requested, on the next business day, or (iii) if by a private delivery service,when delivered as evidenced by the written receipt of the delivery service. All counterparts shall constitute but a single Agreement. 19. The approval of the District Court of Walker County, Texas and compliance with any other legal requirements allowing the disposition of the assets of Oakwood Cemetery Association shall be a condition precedent to the performance of this agreement by Oakwood. The parties to this Agreement understand that performance of this agreement is subject to the approval of the District Court of Walker County, Texas, in an action to liquidate Oakwood,pursuant to Article 1396-7.06 of the Texas Non Profit Corporation Act and is further subj ect to compliance with all other legal prerequisites which may be required by law.. In the event the District Court does not approve the liquidation of the assets of Oakwood Cemetery Association of Huntsville or such transfer is for any reason enjoined, or found to violate any applicable law, then this agreement shall be null and void. Prior to filing any suit in District Court in Walker County, Texas, City will present this contract to City Council and obtain approval thereof and City will rescind any previous resolutions regarding the transfer of the cemetery assets. 4 i i 20. The parties intend that the transfer and conveyance of the assets of the Cemetery from Oakwood to City shall occur sixty days from the date of any Final, Unappppealable Order approving the transfer of the assets of Oakwood Cemetery Association of IFuntsville to the City of Huntsville, Texas. City will cooperate in any such lawsuit to assure that any Order of the District Court of Walker County, Texas substantially complies with the intentions expressed in this Agreement. The parties announced that they had entered into an Agreement to dispose of the case and requested the entry of an Agreed Judgment transferring the assets of Oakwood Cemetery Association of Huntsville, Texas, a nonprofit corporation, to The City of Huntsville pursuant to Section 1396-7 . 06, et seq. , Texas Nonprofit Corporation Act . Texas Nonprofit Corporation Act, that the corporation should be liquidated, and that the assets of the Oakwood Cemetery Association of Huntsville, Texas should be transferred to the City of Huntsville by Order of Liquidation in accordance with the terms of the agreement between Oakwood and the City off-Huntsville, Texas dated March 22, 2002 and in compliance with Article 1396-7 . 06 (B) (1) & B (2) , Texas Nonprofit Corporation Act; it is accordingly ORDERED, ADJUDGED and DECREED that the assets of Oakwood Cemetery Association of Huntsville, Texas shall be transferred to the City of Huntsville, Texas, pursuant to the terms of the Agreement between Oakwood Cemetery Association of -Huntsville, Texas and the City of Huntsville, Texas dated March 22, 2002, a true and correct copy of which is attached hereto and incorporated herein by reference for all purposes.
