RESOLUTION
APPROVING RESOLUTION AUTHORIZING THE ISSUANCE OF
TRINITY RIVER AUTHORITY OF TEXAS CONTRACT REVENUE
BONDS, SERIES 1980 (C,ITY OF HUNTSVILLE SEWER PROJECT)
THE STATE OF TEXAS
COUNTY OF WALKER
CITY OF HUNTSVILLE
WHEREAS, it is necessary and advisable that the City ap-
prove the Resolution Authorizing The Issuance Of Trinity River
Authority of Texas Contract Revenue Bonds, Series 1980 (City
Of Huntsville Sewer Project), hereinafter described.
THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
HUNTSVILLE:
1. That a draft of a "RESOLUTION AUTHORIZING THE ISSU-
ANCE OF TRINITY RIVER AUTHORITY OF TEXAS CONTRACT REVENUE
BONDS, SERIES 1980 (CITY OF HUNTSVILLE SEWER PROJECT) (the
"Bond Resolution ") proposed to be adopted by the Board of
Directors of Trinity River Authority of Texas (the "Author-
ity") has been submitted to the City of Huntsville (the "City ")
in the form attached hereto and made a part hereof for all
purposes. Said draft is hereby approved by the City as to
form and substance, and the bonds (the "Bonds ") described
therein may be issued by Trinity River Authority of Texas
in accordance with the terms and provisions set forth there-
in.
2. That it is acknowledged and agreed by the City that
bonds authorized pursuant to said Bond Resolution (the "Bonds ")
will be issued in strict conformance and compliance with the
Sewerage System Contract, dated April 26, 1978, executed be-
tween the Authority and the City, and relating to the Project
as defined in said Contract and described in said Bond Reso-
lution, and that the City will be fully bound by the provi-
sions of said Bond Resolution insofar as they pertain to the
City, and the City will be unconditionally obligated to make
the payments with respect to the Bonds as required by the
Contract and the Bond Resolution.
GENERAL CERTIFICATE
THE STATE OF TEXAS
COUNTY OF WALKER
CITY OF HUNTSVILLE
We, the undersigned officers of said City, hereby certify
as follows:
1. That this certificate is executed for and on behalf
of said City with reference to the issuance of the proposed
TRINITY RIVER AUTHORITY OF TEXAS CONTRACT REVENUE BONDS,
SERIES 1980 (CITY OF HUNTSVILLE SEWER PROJECT), dated March 10,
1980, in the principal amount of $1,600,000.
2. That said City is a duly incorporated Home Rule City,
having more than 5000 inhabitants, operating and existing
under the Constitution and laws of the State of Texas and the
duly adopted Home Rule Charter of said City, which Charter has
not been changed or amended since the passage of the ordinance
authorizing the issuance of the City's Waterworks and Sanitary
Sewer System Revenue Bonds, Series 1975, dated March 1, 1975.
3. That no litigation of any nature has ever been filed
pertaining to, affecting, questioning, or contesting: (a) the
authority of the City Council and the officers of said City to
authorize, execute, and deliver the Sewerage System Contract,
dated April 26, 1978, between Trinity River Authority of Texas
and the City of Huntsville (the "Contract "), which Contract
provides for payments by the City in amounts sufficient to pay
all principal of and interest on said proposed bonds, or (b)
the validity of said Contract, or the corporate existence of
said City.
4. That the Net Revenues of the City's Waterworks and
Sewer System are pledged to the payment of its outstanding
revenue bonds, but that otherwise none of the revenues of
said Waterworks and Sewer System have been pledged to the
payment of any debt or obligation of the City, excepting pay-
ments under contracts with Trinity River Authority of Texas
for various water and sewer services, including the aforesaid
Contract.
5. That the aforesaid Contract is in full force and
effect and has never been revoked, rescinded, amended, or
modified since its execution.

carrying with it the adoption of said Resolution, prevailed and
carried by the following vote:

shown present above voted "Aye ".
NOES: None.
2. That a true, full, and correct copy of the aforesaid
Resolution adopted at the Meeting described in the above and
foregoing paragraph is attached to and follows this Certificate;
that said Resolution has been duly recorded in said City Coun-
cil's minutes of said Meeting; that the above and foregoing para-
graph is a true, full, and correct excerpt from said City Council's
minutes of said Meeting pertaining to the adoption of said Reso-
lution; that the persons named in the above and foregoing para-
graph are the duly chosen, qualified, and acting officers and
members of said City Council as indicated therein; that each of
the officers and members of said City Council was duly and suffi-
ciently notified officially and personally, in advance, of the
time, place, and purpose of the aforesaid Meeting, and that said
Resolution would be introduced and considered for adoption at
said Meeting, and each of said officers and members consented,
in advance, to the holding of said Meeting for such purpose; and
that said Meeting was open to the public, and public notice of
the time, place, and purpose of said meeting was given, all as
required by Vernon's Ann. Civ. St. Article 6252 -17.
3. That the Mayor of said City has approved, and hereby
approves, the aforesaid Resolution; that the Mayor and the City
Secretary of said City have duly signed said Resolution; and
that the Mayor and the City Secretary of said hereby declare
that their signing of this Certificate shall constitute the
signing of the attached and following copy of said Resolution
for all purposes.
