AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF HUNTSVILLE,
TEXAS, APPROVING THE TRANSFER OF THE TELECABLE FRANCHISE OF
TEXAS TELECABLE, INC. TO TCA HOLDINGS II, L.P.
WHEREAS Texas Telecable, Inc. is the current grantee of a cable television franchise in the City of
Huntsville, pursuant to Ordinance 89 -31, dated October 24, 1989; and
WHEREAS Texas Telecable, Inc. is restructuring itself into TCA Holdings II, L.P., a wholly owned
subsidiary of TCA Cable TV, Inc.; and
WHEREAS Such restructuring will result in the transfer of the cable television franchise to TCA
Holdings II, L.P., but there will be no change in control over the operation of the franchise;
and
WHEREAS The City Council of the City of Huntsville finds that such transfer is acceptable. The City
of Huntsville does further declare that the aforementioned agreement for a cable television
system has not been revoked, rescinded or terminated, and is presently in full force and
effect;
NOW, THEREFORE, be it ordained by the City Council of the City of Huntsville, Texas, that:
SECTION 1: The City of Huntsville hereby approves the transfer of the permit to operate a cable
television system in the City of Huntsville to TCA Holdings II, L.P. effective upon the
signing of this Ordinance.
SECTION 2: This Assignment shall take effect upon receipt by the City of written notice by Texas
Telecable, Inc. and acceptance by TCA Holdings II, L.P. that the assignment, sale, or
transfer has been consummated and that TCA Holdings II, L.P. agrees to comply with the
provisions of the franchise.
