A RESOLUTION APPROVING A BOND RESOLUTION OF THE TRINITY RIVER AUTHORITY FOR THE ISSUANCE OF BONDS FOR IMPROVEMENTS TO THE HUNTSVILLE REGIONAL WATER SUPPLY SYSTEM
WHEREAS, the City of Huntsville, Texas and the Trinity River Authority of Texas have previously entered into the “Trinity River Authority of Texas Regional Water Supply System Contract”
dated June 25, 1997 and the “Trinity River Authority of Texas – First Amendment – Huntsville Regional Water Supply System Contract” relating to the provision of facilities and services
by the Authority for the benefit of the City and for additions, improvements, repairs, replacements, expansions and extensions of the Huntsville Regional Water Supply System; and
WHEREAS, in connection with the financing of the facilities and services provided by the Authority for the benefit of the City, the Authority has and is preparing to authorize, issue
and deliver bonds of the Authority supported by payments to be made by the City pursuant to the Contract; and
WHEREAS, it is necessary and required by the Contract that the City approves the resolution of the Authority authorizing the issuance, sale, and delivery of Trinity River Authority
of Texas Huntsville Regional Water Supply System Revenue Bonds, Series 2026, and approving and authorizing instruments and procedures relating thereto hereinafter described.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF HUNTSVILLE, TEXAS THAT:
SECTION I: The recitals set forth in the preamble hereof are incorporated herein and shall have the same force and effect as if set forth in this Section.
SECTION 2: The “Resolution Authorizing the Issuance, Sale, and Delivery of Trinity River Authority of Texas Huntsville Regional Water Supply System Revenue Bonds and Approving and Authorizing
Instruments and Procedures Relating Thereto” has been submitted to the City in the form attached hereto as Exhibit A and made a part hereof for all purposes. The Bond Resolution is
hereby approved by the City as to form and substance, and the bonds described therein may be issued by the Authority in accordance with the terms and provisions set forth therein and
herein.
SECTION 3: It is acknowledged and agreed by the City that the Bonds authorized pursuant to the Bond Resolution will be issued in strict conformance and compliance with the Contract and
described in said Bond Resolution, and that the City will be fully bound by the provisions of said Bond Resolution insofar as they pertain to the City, and the City will be unconditionally
obligated to make the payments with respect to said Bonds as required by the Contract and the Bond Resolution. This Resolution shall be effective from one year after the date of adoption,
and the Authority is not required to seek subsequent approval of this Resolution if all Bonds authorized hereby are priced and sold within one year from date of adoption of this Resolution.
