Mayor Pro Tem Rodriquez made a motion to authorize the City Manager to enter into an agreement with
the HEARTS museum for participation in the replica Vietnam Veterans War Memorial in the amount of
$25,000 provided that the HEARTS museum secures the remaining funds for the project; the motion was
seconded by Councilmember Lyle. Museum President Kenneth Lee spoke on the effort to bring the
replica wall to Huntsville. Mayor Pro Tem Rodriquez made a motion to amend the original motion to
increase the amount to $50,000; the motion was seconded by Councilmember Montgomery. The amended

Mayor Brauninger announced early voting for the November 3rd election has begun and will continue through
October 30th. All early voting will take place at the Walker County Storm Shelter on 75 North. I want to
encourage citizens of Home Sweet Huntsville to get out and vote.
Councilmember Loll asked residents wish Big Sam a happy birthday with a photo or video and post it to
social media using #HappyBirthdayBigSam and tag @SamHoustonStatue and be entered to win a t-shirt,
mini statue replica signed by David Adickes, and a $25 gift card! Big Sam will turn 26 on Thursday, October
22nd.
Councilmember Irving invited the public to enjoy the spooky Halloween season and the Main Street program
is celebrating with a Storybook Stroll! Bring your kiddos to downtown over the next two weeks and enjoy a
Charlie Brown favorite. See the City of Huntsville Main Street social media for more details.
Councilmember Montgomery spoke about the free drive-thru COVID testing continues at the Huntsville
Memorial Hospital Clinic Monday through Friday from 4-8 pm and Saturday 8am-noon and Sunday from
noon to 4 pm at 125 Medical Park Drive. Registration is not required but helpful to get through the processing.

Councilmember Beebe announced that the Huntsville Public Library will be reopening this month! Following
the guidance of City officials, the Library will reopen on Monday, October 26, 2020 under the modified hours
of 10 a.m. to 1 p.m. and 4 p.m. to 7 p.m. Mondays through Fridays. The library will only be able to
accommodate fifty patrons inside the library at one time. Per Governor Abbott’s Executive Order 28, all
persons must wear a mask unless they are under the age of 10 or have a medical condition. The library’s book
sale will be open. Limited computer access will be available on a first come, first served basis. Limited
computer assistance will be offered in an effort to maintain social distancing. Meeting room reservations will
not be available, and the library’s reading furniture will be inaccessible. For more information, please call

Councilmember Howard added the Carpool Cinema will be showing the classic Halloween movie Hocus
Pocus at Kate Barr Ross Park, field 6 & 9 parking lot. Showing will start at 8 PM and parking can begin at
7:15 PM. Citizens will be asked to stay inside their vehicles to practice social distancing. There will be a
drawing of awesome Door Prizes for the kids! Winners will be announced during the movie.

Life for stop loss insurance coverage.

Recommended Motion: Move to authorize the City Manager to approve a contract renewal with
Companion Life for stop loss insurance coverage in the amount of $277,367.
Strategic Initiative: Goal #6 - Finance - Provide a sustainable, efficient and fiscally sound government
through conservative fiscal practices and resource management.
Discussion: The City currently has a self-insured medical plan. This means that the City assumes the
financial risk for providing health care benefits to our employees (as opposed to an insurance carrier
with a fully insured plan). The City contributes $850 per employee per month into our employee
benefits fund to pay for claims and to cover administrative expenses which are paid to a third-party
administrator (TML) to process these claims and ensure that the plan is administered according to the
City’s policies. Due to the City carrying this risk, it is necessary for the City to carry a stop loss policy
(sometimes called a reinsurance policy). These policies protect the City from catastrophic losses due
to large claims (over $150,000). The City’s current contract with Companion Life expires December 31,
2020.
SA Benefit Services (affiliated with TML) marketed to 15 different stop loss carriers; attached is a memo
from the company outlining the responses and recommendation. Companion Life is the best rate and
value for the City. This will be our fourth year contracting with Companion Life for this coverage. Below
is a comparison of the current and proposed rates:
Current 2020 Companion Life Annual Premium: $262,436
Proposed 2021 Companion Life Annual Premium: $277,367
Total Annual Premium Increase: $ 14,931 (5.69%)
To date for 2020, the City has not received any stop loss reimbursements. We do anticipate receiving
reimbursements before the end of the year due to a large pending claim.
Previous Council Action: The City Council approved the current contract with Companion Life in
November 2019 for stop loss coverage for the 2020 Plan Year.
Financial Implications:

SA Benefit Services, LLC handled the stop loss renewal for the City of Huntsville’s January 1,
2021 effective date. The stop loss renewal was marketed to 15 different stop loss carriers of which 6
carriers declined, 2 carriers did not respond, and 7 carriers quoted. The reason for declines were due to
being uncompetitive against the group’s current rates.
Of the seven carriers who had quoted in the preliminary quoting phase the renewal was the most
competitive at -4.36% below current on total risk. We firmed up the renewal due to competitiveness along
with two other carriers. When the firm offers were issued, the incumbent Companion Life, was the most
competitive with no lasers placed and 5.69% over current on fixed cost with the current $150,000 specific
deductible and $100,000 aggregating specific deductible.
As of 10/31/2020 there are no stop loss reimbursements over the specific deductible, but we are
anticipating at least one through the end of 2020. This is due to a claimant with pended claims of $757K
that have yet to be processed due to additional information needed; but this claim should create a stop loss
reimbursement back to the city.
Stop Loss trend is 12% and therefore the renewal is a favorable renewal for the City of
Huntsville.

Elliott Construction, LLC in the amount of $416,307.25 for the construction of FY 2019-2020
Miscellaneous Waterline Replacement Projects (Nos. 20-10-01, -02 & -03).
Strategic Initiative: Goal #4 - Infrastructure - Ensure the quality of the City utilities, transportation and
physical structures so that the City’s core services can be provided in an effective and efficient manner.
Discussion: The subject project consists of replacing deteriorated waterline segments at the following
locations:
A) 15th Street (University Ave to Ave J) - Replace approximately 550 LF of 12” waterline
B) 15th Street (Ave I to Bearkat Blvd) - Replace approximately 1,100 LF of 8” with 12” waterline
C) Avenue R (17th Street to 16th Street) - Replace approximately 650 LF of 6” waterline
D) Gazebo Street - Replace approximately 2,600 LF of 3” with 6” waterline
Funding for design and construction of all the above segments were made available with the approval of
capital improvement program projects for FY 2019-2020 budget. Location of the above project

Schaumburg & Polk, Inc., Houston, TX was retained by the City for providing professional engineering
services consisting of detail engineering design, bidding and limited construction support services for
these projects.
Notice to Bidders was advertised on September 19, 2020, upon completion of the design. Notice
requesting bids was posted on the Huntsville Item and the City of Huntsville websites. Also, the notice,
project drawings, and contract documents were posted on the Electronic State Business Daily (ESBD)
and Public Purchase websites. Hard copies of the bid documents were available for review at the Service
Center and were sent to potential bidders on request.
A non-mandatory pre-bid meeting was held on September 29, 2020, to allow all responders access to
the City staff for questions, comments, and clarifications on the scope of work. The bids were opened on
October 7, 2020. Nine (9) bidders submitted bids for this project. The certified bid tabulation is included
in this agenda item. Elliott Construction, LLC, Bryan, TX is the low bidder with the Base Bid plus
Alternate Bid in the amount of $416,307.25. The current balance in the budget for this item is $490,590.
No additional utility easements were required for the project.

It has been determined since the first reading of the agenda item in October 20th Council meeting that
Elliott Constructions has previously worked on City water and sewer projects, during mid to late 1990s,
that ranged from $15,000 to $200,000. Reference verification on recent past projects that Elliott
Construction, LLC worked on for other owners (City of College Station and City of Bryan) have come out
positive. A letter of recommendation from the engineer-of-record is included in this agenda item. Also,
a letter of recommendation provided by the bonding agent for Elliott Construction is attached to this
email.
The construction contract period will be 150 calendar days from the date of the Notice to Proceed
(NTP).
Previous Council Action: a) The City Council approved $555,000 in FY 2019-2020 budget for design and
construction of these project segments. b) The City Council awarded professional engineering services to
Schaumburg & Polk, Inc. in the amount of $64,410 on April 7, 2020 meeting.

On October 7, 2020, the City of Huntsville received bids for the above-referenced project. Nine
(9) contractors submitted bid proposals for the project. Enclosed is the bid tabulation prepared by
our office of all bids received. Our review of the tabulation indicates that Elliott Construction,
LLC (located in Bryan, Texas) is the low bidder with a base bid of $415,357.25 and a bid of
$950 for the Alternative Bid Item, for a total bid of $416,301.25.
Listed below is a tabular summary of the base bids and bid alternatives received:
Please note that our evaluation of the bids included a review of the detailed pricing and
conducting a reference check, but did not include a detailed review of insurance, financial
statements, bid bonds, etc. Reference information provided with Elliott Construction, LLC’s bid
documents were for materials suppliers. Elliott Construction has not worked on City of
Huntsville projects in the past. SPI contacted Elliott Construction for information related to their
municipal clients, and the cities of Bryan and College Station were named as regular clients.

Recommended Motion: Move to authorize the City Manager to enter into an agreement for
cost participation with Waterstone Opportunity Fund, LLC, for the construction of American
Legion Drive extension.
Strategic Initiative: Goal #4 - Infrastructure - Ensure the quality of the City utilities,
transportation and physical structures so that the City’s core services can be provided in an
effective and efficient manner.
Discussion: Waterstone Opportunity Fund, LLC, of Livingston, Texas, has plans to develop a
residential subdivision in an approximately 20-acre tract that they own on the east side of future
extension of American Legion Drive. The proposed residential subdivision, known as Crown
Point housing subdivision, will consist of 98 single-family residential patio-style homes when
fully developed.
According to the Development Code, the developer is responsible for constructing all of water,
sewer, street and drainage infrastructure within the proposed development and for the
constructing extension of the City’s water and sewer infrastructure to the development site.
As for the extension of the street and drainage infrastructure to the development site, the
development code requires the developer to construct only half of the needed street width for
American Legion Drive extension up to and along the full frontage of the development.
The proposed agreement provides for the City to cost participate for the extension of full width
(41-feet wide) American Legion Drive for approximately 750 linear feet. The City’s cost
participation will be at 50% of the estimated cost of American Legion Drive extension, with a not
to exceed amount $75,000. The Engineer’s Opinion of Probable Cost of Construction (EPOCC)
for American Legion Drive extension is approximately $149,000.
As per the proposed agreement, the developer is responsible for design and construction of the
American Legion Drive extension. The design is complete, and the construction is anticipated to
proceed soon after full execution of the agreement.
In approving this cost participation agreement, the City will not only get the full width (41-feet
wide) American Legion Drive extension constructed at 50% of the cost but will also result in

adding approximately $17 million in residential investment (98 patio homes with an average
price of $175,000).
Previous Council Action: The Council has taken no previous action on this particular item.
Financial Implications:
☒Item is not budgeted: $75,000 will be provided from Street CIP Unallocated Budget through a
future budget amendment if the agreement is approved.
☒Item is estimated to generate additional revenue: Based upon similar single-family
residential subdivision developments, once fully developed, the project is estimated to generate
$100,000 in permit fees, and $45,000 in annual property taxes. Based on the estimated
revenues generated from this project, the roadway extension cost participation will pay for itself
in two years once the subdivision is fully developed.
Additionally, it is estimated these utility revenues would be received annually, water - $38,500,
sewer - $48,500, and solid waste - $26,700 (water and sewer amounts are based 7,000 gallons
of usage each month).

AGREEMENT TO CONSTRUCT PUBLIC IMPROVEMENTS
PROJECT: American Legion Drive Extension, PD#2019-10-03
THIS AGREEMENT TO CONSTRUCT PUBLIC IMPROVEMENTS (this “Agreement”), is
between the CITY OF HUNTSVILLE, a home-rule municipal corporation, 1212 Avenue M,
Huntsville, Texas 77340, hereinafter referred to as "CITY" and WATERSTONE
OPPORTUNITY FUND, LLC, hereinafter referred to as "DEVELOPER":
WHEREAS, The City is a home-rule city and municipal corporation that provides a full-range
of governmental services to its citizens; and
WHEREAS, Developer is the owner of that certain parcel of land situated in the City of
Huntsville, Walker County, Texas, generally known and described as Crown Point Subdivision,
as further described on Exhibit “A” attached hereto, and Developer proposes to do and perform
certain work of improvement thereon as hereinafter set forth; and
WHEREAS, City desires to assure that the proposed public improvements will be done in good
workmanlike manner and in accordance with the laws now in force and effect in the City of
Huntsville, Texas, including the Development Code, the terms and conditions of which are
incorporated herein by reference; and,
WHEREAS, Developer declares that it is familiar with the regulations and laws now in force and
effect in the City of Huntsville, Texas, including the current Development Code and agrees to
comply therewith, and
WHEREAS, a final plat of this tract prepared in accordance with the City's Development Code,
has been filed by Developer with City for approval by the City Planning and Zoning Commission;
NOW, THEREFORE, in consideration of the approval and acceptance by the City Planning and
Zoning Commission of final plat and the acceptance of American Legion Drive Extension,
therein offered for dedication for public purposes and the covenants herein contained, the parties
hereto mutually covenant and agree as follows:
1. General Requirements:
Developer shall, at its own cost and expense, supply all materials and complete all of the
improvements set forth in the attached Exhibit "B" attached hereto (the
“Improvements”) with such improvements to be completed to the satisfaction of the City
Engineer of the City at an estimated construction cost of
One Hundred and Forty Eight Thousand, Eight Hundred Twenty Seven Dollars and

80/100. ($148,827.80), reference Exhibit “C”, to complete the public improvements
described on Exhibit “B”.
2. Monumentation:
Developer shall replace, or have replaced, or repair, or have repaired, as the case may be,
all property corners and monuments shown on the map that have been destroyed or
damaged, and Developer shall replace or have replaced, repair, or have repaired, as the
case may be, or pay to the owner, the entire cost of replacement or repairs, of any and all
property damaged or destroyed by reason of any work done hereunder, whether such
property be owned by the United States or any agency thereof, or the State of Texas, or any
agency or political subdivision thereof, or by the City or by any public or private
corporation, or by any person whomsoever or by any combination of such owners. Any
such repair or replacement shall be to the satisfaction, and subject to the approval, of the
City Engineer.
3. Permits; Compliance with Law:
Developer shall, at Developer's expense, obtain all necessary permits and licenses for the
construction of such improvements, give all necessary notices and pay all fees and taxes
required by law. The Developer understands and agrees that all City ordinances and codes,
including applicable permits, fees and inspections, shall be of full force and effect within
its boundaries the same as to other areas within the City's corporate limits and this Contract
shall at all times be subject to the City Code of Ordinances.
4. Superintendence by Developer:
Developer shall give personal superintendence to the work of the improvements, or have a
competent foreman or superintendent, satisfactory to the City Engineer, on the work at all
times during progress, with authority to act for Developer.
5. Inspection by City:
Developer shall at all times maintain proper facilities and provide safe access for inspection
by City to all parts of the work and to the shops wherein the work is in preparation.
6. Repair or Reconstruction of Defective Work:
If, within a period of one year after final acceptance of the work performed, under this
agreement, any structure or part of any structure furnished, and/or installed or constructed,

or caused to be installed or constructed by Developer, or any of the work done under this
agreement, fails to fulfill any of the requirements of this agreement, or the specifications
referred to herein, Developer shall without delay and without any cost to the City, repair
or replace or reconstruct any defective or otherwise unsatisfactory part or parts of the work
or structure. Should Developer fail to act promptly or in accordance with this requirement
or should the exigencies of the case require repairs or replacements, to be made before
developer can be notified, City may, at its option, make the necessary repairs or
replacements or perform the necessary work and Developer shall pay to City the actual
cost of such repairs plus fifteen percent (15%).
7. Definition and Ownership of Improvements:
a. The term “Improvements" as defined herein and described on Exhibit “B” shall
include grading, paving, curbs and gutters, pathway, storm and sanitary sewers,
utilities, drainage facilities, traffic control, landscaping, and street lights, that shall be
shown in detail upon plans, profiles and specifications that have been prepared by
engineers acting for Developer subject to approval by the City Engineer. No work on
these improvements shall be commenced until plans and profiles therefore have been
submitted to and approved by the City Engineer. The cost of plan checking and
inspection shall be paid by Developer. All public improvements constructed or
installed pursuant to this agreement, shall become the sole exclusive property of the
City of Huntsville, without payment therefore, upon acceptance of the improvements
by the City. Developer agrees to execute any documents required for the transfer of
the completed Improvements to the City.
b. Public Improvements Plan
The Developer’s Public Improvement Plan is attached as Exhibit “B”. The City and
the Developer agree that approvals or certifications by the City are required for each
phase or part of the Public Improvement Plan. The City and the Developer agree that
the Developer shall develop the Tract in accordance with the Public Improvements
Plan and that the City has been induced to enter into this Contract based upon
Developer’s representation that it will develop the Tracts in accordance with the
Public Improvements Plan.
8. Time of Completion:
All of the public improvements shall be completed within twelve (12) months from the
effective date of this Agreement. In the event that Developer fails to complete the public
improvements within the twelve months' period, the City may complete the work and shall
be entitled to recover the full cost and expenses thereof from Developer, or his surety, to
pay the City in advance, sufficient monies to cover the City's cost in completing
construction of these public improvements. The time for completion may be extended by
the City Engineer, in writing, for good cause shown by the Developer.

9. Surety:
A. Before construction begins on the Improvements, Developer shall file with the City
both:
(1) acceptable surety in the amount equal to 100 percent (100%) of the estimated
construction cost hereinabove set forth to guarantee performance of all the
provisions of this contract, and
(2) acceptable surety in the amount equal to 100 percent (100%) of the estimated
construction cost hereinabove set forth to guarantee payment to the contractor, his
subcontractor, and to persons renting equipment or furnishing labor and materials
to them for the improvements required under this contract.
B. Acceptable surety shall be in the form of surety bonds (issued by a company acceptable
according to the latest list of companies on file with the Secretary of State of Texas),
or in the form of an irrevocable letter of credit from a local bank, on a form acceptable
to the City, or in the form of a cash deposit to be held by the City. In the event the
Developer fails to meet its obligations contained in this Agreement, the City shall have
the right to draw the entire amount of the Letter of Credit as a reimbursement to the
City for the cost by the City to complete construction of the Public Improvements and
any legal and administrative costs associated with completion thereof.
C. If the Developer does not wish to provide surety, then the Developer agrees that the
City will withhold final plat approval and recording of the plat (or withhold the
approved plat from filing) until certification of satisfactory completion of public
improvements by the City Engineer and the below required Maintenance Bonds are
filed by the Developer with the City of Huntsville.
D. Developer shall file with City of Huntsville a maintenance bond in the amount of 25%
of the estimated construction cost of all public improvements that will be accepted and
maintained by the City of Huntsville. This bond will be released no later than one year
after the public improvement acceptance of the American Legion Drive extension by
the City.
10. Effective Date of Contract:
This contract shall become effective as of the date of issuance of the acceptable surety
bond attached to this contract or as of the date of the issuance of a Public Improvement
Permit.

11. Liability for Nonperformance:
Neither the City nor any of its officers or agents shall be liable to Developer or its
contractors for any error or omission arising out of or in connection with any work to be
performed under this contract.
12. Liability for Personal Injuries:
The City shall not be liable to the Developer or to any other person, firm, or corporation
whatsoever, for any injury or damage that may result to any person or property by or from
any cause whatsoever in, on, or about the subdivision of the land covered by this
Agreement, or any part thereof.
13. Release and Indemnification:
The Developer hereby releases and agrees to indemnify and save the City harmless from
and against any and all injuries to and deaths of persons and injuries to property, and all
claims, demands, costs, loss, damage and liability, howsoever the same may be caused and
whensoever’s the same may appear, resulting directly or indirectly from the performance
or nonperformance of any or all work to be done in and upon premises adjacent thereto
pursuant to this Agreement, and also from any and all injuries to and deaths of persons and
injuries to property or their interests and all claims, demands, costs loss, damage, and
liability, howsoever may be caused and whensoever’s the same may appear, either directly
or indirectly made or suffered by the Developer, the Developer's agents, employees, and
subcontractors, while engaged in the performance of that work.
Before any work pursuant to this contract, Developer's contractors shall furnish to City
satisfactory evidence of an insurance policy written upon a form and by a company which
meets with the approval of City insuring City, its officers, agents, and employees against
loss or liability which may arise during the work or which may result from any of the work
herein required to be done, including all costs of defending any claim arising as a result
thereof. Minimum liability and property damage insurance shall be not less than $500,000
for all damages arising out of bodily injury or to death of one person and not less than
$1,000,000 for all damages arising out of bodily injuries to or death of more than one
person in any one occurrence; and not less than $100,000 for all damages and/or destruction
of property in any one occurrence and not less than $500,000 for all damages and/or
destruction of property during the policy period. This policy shall be in favor of Developer
or its contractors and of the City, its officers, agents, and employees and shall be maintained
in full force and effect during the life of this contract. This policy shall not be canceled
until City shall have had at least thirty (30) days’ notice in writing of such cancellation.
14. Liability of Developer:

The Developer agrees that the use for any purpose and by any person of any and all of the
streets and improvements herein before specified, shall be at the sole and exclusive risk of
the Developer at all times prior to final acceptance by the City of the completed street and
other improvements thereon and therein; provided, that acceptance by the City shall in no
way eliminate or lessen any of Developer's obligations or undertakings contained in this
Agreement.
15. Developer's Expenses:
The Developer shall pay for the following expenses:
a. The Developer shall cause to be made and pay for soil tests made by a reputable
and certified soils testing laboratory to determine gradation, bearing, and resistance
value of soils within the subdivision from which to determine the nature of the
improvement necessary. The developer shall also cause to be made and pay for all
compaction tests required by the City Engineer.
b. The Developer and his subcontractors shall pay for all testing of public
improvements required by the City Engineer of the City before acceptance as public
improvement.
c. The Developer and his subcontractors shall pay for any materials, provision,
provender, and other supplies or equipment used in, upon, for or about the
performance of the work contracted to be done.
d. All required improvements shall be constructed under the inspection of and subject
to approval of the City Engineer. The cost of inspections shall be paid by the
Developer.
e. Sewer and water fees as established by City shall be paid prior to the time of
connection to any existing sewer or water line, or to any extension of an existing
sewer or water line. In the event the Developer sells lots before the sewer and water
connection fees are paid, no building permit shall be issued for any lot within the
subdivision until the sewer and water connection fees therefore are paid. The
payment of these connection fees shall be the primary obligation of Developer
subject to the right of the City to collect connection fees at the time of issuance of
a building permit.
16. Approval by City Engineer:
It is mutually agreed by the parties hereto that the City Engineer shall have the right to
reject any or all of the work to be performed under this contract if such work does not
conform to the plans and specifications mentioned herein or the ordinances of the City of

Huntsville. Any damage to the sewer system, utilities, concrete work, or street paving that
occurs after installation shall be made good to the satisfaction of the City Engineer by the
Developer before release of bond or final acceptance of completed work.
17. Obligations of Developer:
Notwithstanding the fact that Developer's plans and specifications, completion of the work,
and other acts are subject to approval of the City, it is understood and agreed that any
approval by the City thereof shall in no way relieve Developer of satisfactorily performing
the work or his obligations hereunder. The construction shall be done strictly in accordance
with the plans and specifications prepared by Developer or its engineer, with the City of
Huntsville's standards and with the provisions of the Huntsville city code. In accordance
to the Texas Occupations Code 1001.407, the Engineering Construction is to be performed
under the direct supervision of an Engineer. “As-built” drawings are required to be
submitted upon completion of the Work, certified by the Engineer supervising the Work.
Developer warrants that its plans and specifications conform as a minimum to the
ordinances and that they are adequate to accomplish the work in good workmanlike manner
and in accordance with sound construction practices.
18. Participation by City:
The City shall participate in the construction of the public improvements by reimbursing
the Developer for 50% of the cost to construct the improvements as described in
“Improvements” as shown in Exhibit “B”. However, in no event shall the City’s
participation amount exceed seventy-five thousand dollars ($75,000). For example, if the
cost costs to construct are $160,000, the City’s reimbursement is $75,000.
Reimbursements for construction of the public improvements shall be made at the
completion of the construction of the public improvements and upon acceptance of the
same by the City.
The Project will require filing for permit and paying all permit fees.
19. Notice of Completion:
Developer shall file a Notice of Completion with the City Engineer of the improvements
herein specified. The Notice of Completion will include a letter from the Engineer of
Record for the Project, certifying that the Work has been completed and installed in
conformance with the plans and specifications approved by the City.
20. Relationship of Contractors:
It is hereby mutually covenanted and agreed by the parties hereto that Developer’s

contractors are not agents of City, and that the contractors' relations to City, if any, are
those of independent contractors.
21. Certification of Satisfactory Completion:
Upon the satisfactory completion of the improvements by the Developer, the City Engineer
shall certify that the work of these improvements has been satisfactorily completed.
22. Assignment:
This contract shall not be assignable by Developer without written consent of City.
23. Filing of Improvement Plans:
Upon completion of the job and subsequent to the acceptance of the job by the City, the
Developer shall supply the City with electronic versions, in PDF and AutoCAD formats,
one set of Engineer certified "as built" and shall reflect the job as actually constructed, with
all changes incorporated therein. In addition, the Developer shall provide to the City the
materials testing results, construction submittals, change orders, and clarifications.
24. Choice of Law; Venue; Dispute Resolution:
This contract shall be governed by the laws of the State of Texas and venue for any lawsuit
or court action shall be in district court in Walker County, Texas.
The parties recognize that disputes may occur and the Agreement involves a governmental
entity and as such, there can be no delegation to a third party individual or third party entity
for a final resolution of the duties and obligation of the City as herein provided. If either
Party defaults in its obligations under this Agreement, the other Party must, prior to
exercising a remedy available to that Party due to the default, give written notice to the
defaulting Party, specifying the nature of the alleged default and the manner in which it
can be satisfactorily cured, and extend to the defaulting Party at least 30 days from receipt
of the notice to cure the default. If the nature of the default is such that it cannot reasonably
be cured within the 30-day period, the commencement of the cure within the 30-day period
and the diligent prosecution of the cure to completion will be deemed a cure within the
cure period.
If either Party defaults under this Agreement and fails to cure the default within the
applicable cure period, the non-defaulting Party will have all rights and remedies available
under this Agreement or applicable law, including the right to institute legal action to cure
any default, to enjoin any threatened or attempted violation of this Agreement or to enforce
the defaulting Party’s obligations under this Agreement by specific performance or writ of
mandamus, or to terminate this Agreement. All remedies available to a Party will be

cumulative and the pursuit of one remedy will not constitute an election of remedies or a
waiver of the right to pursue any other available remedy.
25. Merger and Modifications:
This Contract, including the exhibits that are attached hereto and incorporated herein for
all purposes, embodies the entire agreement between the parties relative to the subject
matter hereof. This Contract shall be subject to change or modification only with the
written mutual consent of the parties.
26. Reservation of Rights:
All rights, powers, privileges and authority of the parties hereto not restricted or affected
by the express terms and provisions hereof are reserved by the parties and, from time to
time, may be exercised and enforced by the parties.
27. Captions:
All rights, powers, privileges and authority of the parties hereto not restricted or affected
by the express terms and provisions hereof are reserved by the parties and, from time to
time, may be exercised and enforced by the parties.
28. Severability:
The provisions of this Contract are severable, and if any part of this Contract or the
application thereof to any person or circumstances shall ever be held by any court of
competent jurisdiction to be invalid or unconstitutional for any reason, the remainder of
this Contract and the application of part of this Contract to other persons or circumstances
shall not be affected thereby.
29. Benefits of Contract:
This Contract is for the benefit of the City and the Developer and shall not be construed to
confer any benefit on any other person except as expressly provided for herein.
30. Addresses and Notice:
Unless otherwise provided in this Contract, any notice, communication, request, reply, or
advice (herein severally and collectively, for convenience, called “Notice”) herein
provided or permitted to be given, made, or accepted by any party to the other (except
bills), must be in writing and may be given or be served by depositing the same in the
United States mail postpaid and registered or certified and addressed to the party to be
notified, with return receipt requested, or by delivering the same to such party, addressed
to the party to be notified. Notice deposited in the mail in the manner herein above

described shall be conclusively deemed to be effective, unless otherwise stated in this
Contract, from and after the expiration of three (3) days after it is so deposited. Notice
given in any such other manner shall be effective when received by the party to be
notified. For the purpose of notice, addresses of the parties shall, until changed as
hereinafter provided, be as follows:

AN ORDINANCE OF THE CITY OF HUNTSVILLE, TEXAS, AMENDING THE 2020-
2021 ANNUAL BUDGET AND CAPITAL IMPROVEMENTS PROJECTS (CIP)
BUDGETS, ORDINANCE NO. 2020-43 TO AMEND ADOPTED EXPENDITURES OF
THE BUDGET; AND DECLARING AN EFFECTIVE DATE.
WHEREAS, the 2020-2021 Annual Budget and CIP Budgets were adopted by Ordinance 2020-43 on
September 15, 2020;
WHEREAS, various unforeseen circumstances affecting the City have presented themselves during the
course of the fiscal year;
WHEREAS, the City Council considered the circumstances independently, deliberating appropriately
on the associated revenues and expenditures and the overall impact on the general financial
status of the City;
WHEREAS, pursuant to the laws of the State of Texas and the City Charter of the City of Huntsville,
Texas, the City Council has determined that it will be beneficial and advantageous to the
citizens of the City of Huntsville to amend the annual budget for fiscal year 2020 – 2021
and the Capital Improvements Projects (CIP) budget as set forth herein; and
WHEREAS, this ordinance combines the independent Council actions into one budget amendment
document;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
HUNTSVILLE, TEXAS, that:
Section 1. The findings set forth above are incorporated into the body of this ordinance.
Section 2. The annual budget for fiscal year 2020 – 2021 is hereby amended to include the
expenditures and revenues in Exhibit “A” and the Capital Improvements Projects budget
is hereby amended to include the expenditures described in Exhibit “A” attached hereto
and made a part of this ordinance as if set out verbatim herein.
Section 3. All ordinances of the City in conflict with the provisions of this ordinance are hereby
repealed, and all other ordinances of the City not in conflict with the provisions of this
ordinance shall remain in full force and effect.
Section 4. Should any section, portion, sentence, clause or phrase of this ordinance be declared
unconstitutional or invalid for any reason, it shall not invalidate or impair the force or effect
of any other section or portion of this ordinance.
Section 5. The necessity for amending the budget for the fiscal year 2020 – 2021 and Capital
Improvements Projects, as required by the laws of the State of Texas, requires that this
ordinance shall take effect immediately from and after its passage, as the law in such cases
provides.
Section 6. This ordinance shall take effect immediately after its passage.

Budget Amendments FY 20-21

Explanation:
Due to the TXDOT I-45 widening project thru Huntsville TXDOT is requiring the City
to relocate various Water and Wastwater lines that are located in the right-of-way
for the interstate. TXDOT will reimburse the City for the relocation costs except
for any "betterment". "Betterment" that the City will do is upsizing of lines for the
lines being relocated. Initial projections are that betterment will be about 20% of
the cost. As such, TXDOT will reimburse the City at roughly 80%. Staff has sought
engineering services for the project(s) and RPS has been selected for entering into
a contract with. The cost for the engineering is $650,000. The City already has
$200,000 ($100,000 for Water and $100,000 for Wastewater) for the relocation of
the utility lines. TXDOT's share of the costs will be roughly $520,000 ($260,000 for
each) and the City's will be $130,000. This Budget Amendment puts in place the
reimbursements to be received from TXDOT and additional budget needed to
cover the engineering contract.
Increase: COVID-19 TDEM (expenditures for Public testing and health) $ 497,250
Increase: Grant Revenue (CRF monies) $ 497,250
Explanation:
The City was allocated approximately $2.3M dollars of Coronavirus Relief Fund
(CRF) grant monies back in the late May to early June timeframe. The City has
partnered with the Walker County Hospital District/Huntsville Memorial Hospital
to provide COVID-19 testing for residents of the City. In FY 19-20 the City
budgeted $374,880 for COVID-19 Public testing and health with $345,250 actually
spent on testing and $17,097 spent on PPE for the public. Since October 1, 2020
(new fiscal year 20-21) testing costs with Walker County Hospital District has been
$247,250. Staff anticipates cost for testing for the month of November to be
approximately $250,000. This budget amendment puts in place budget to cover
the cost of testing through the end of November (the agreement with the Hospital
District terminates December 1, 2020) and provides for the CRF grant monies as
the source to pay for these cost.

The City Manager was authorized to create a Deputy City Manager position.
Expenditures anticipated for the position for 9 months in FY 20-21 total to
$153,885. The City Manager's "division" is funded in part from Administrative
Overhead Transfers from the Utility Fund and the Solidwaste Fund.
Monies/Budget to cover the costs for the position being added are coming from
Future Appropriations/Allocations from General Fund, Utility Fund, and Solid
Waste Fund. Use of Future Appropriations/Allocations in any Fund in excess of
$50,000 requires Council approval. Thus, the $56,937 from General Fund and the
$80,020 from Utility Fund are presented for approval. The use of Future
Appropriations/Allocations from Solidwaste Fund is also presented here for
informational purposes to complete the full $153,885 amount required.

Explanation:
In Fiscal Year 19-20 the Library was the recipient of a donation of a little over
$72,000 which was the proceeds of a life insurance policy willed to the Library.
None of the proceeds were expended in FY 19-20 and as such all the amount went
to Fund Balance of the Library Special Revenue Fund. The Library has come up
with some uses for some of the proceeds in FY 20-21. Two of the major uses will
be binding and repair of books and new shelving units. The Library believes the
$30,000 requested budget amount should cover these items of expense in FY 20-
21.

amount of $199,525.68 with Gracon Construction Inc. for 2016 Bond Proposition 3 AJ Brown
Wastewater Treatment Plant Rehabilitation Project – Nos. 17-01-02.1.
Strategic Initiative: Goal #4 - Infrastructure - Ensure the quality of the City utilities, transportation and
physical structures so that the City’s core services can be provided in an effective and efficient
manner.
Discussion: The City Council awarded Bond Proposition 3 AJ Brown Wastewater Treatment Plant
(WWTP) project construction to Gracon Construction Inc. in the amount of $20,785,247 on May 1, 2018.
Notice to Proceed was issued on July 5, 2018. The project is substantially complete, and the new plant
is now in operation since August 2020. Completion of concrete paving is one of the few minor pending
items to be completed in the project.
With the new plant now being operational, it is found to be advantageous to eliminate some of the
originally proposed concrete paving in the contract and add concrete paving in other areas. This
proposed addition and deletion has been arrived at upon field evaluation and field operational
experience with the new plant during the last several months. The net increase in additional concrete
paving will be $199,525.68. The staff is recommending approval of Change Order No.2 in the amount
of $199,525.868.
It is to be noted here that paving areas that were originally included at the time of the bidding were
kept to the minimum keeping the overall 2016 Bond Proposition 3 project budget in mind. With the
full / substantial completion of all 2016 Bond Proposition 3 Project constructions, there is enough
available balance in the project budget to cover the cost of Change Order No. 2 to AJ Brown WWTP
Rehabilitation Project construction contract.
Previous Council Action: The City Council awarded AJ Brown WWTP Rehabilitation project construction
contract to Gracon Construction Inc. in the amount of $20,785,247 on May 1, 2018 Council meeting.
Change Order No.1 in the amount of $49,420.98 was executed on September 10, 2020.
Financial Implications:
☒. The balance of total available budget for the 2016 Bond Proposition 3 projects will be
approximately $498,000 after the execution of Change Order No. 2 to AJ Brown WWTP Rehabilitation
project construction contract. Also, interest earnings on the bond proceeds since issued in summer of
2018 have added additional available monies, if necessary, of $1,218,000.

Recommended Motion: Move to adopt an ordinance amending the code of ordinances of the City of
Huntsville, Chapter 90, “Traffic and Vehicles” by revising and updating Article VII, Regulation of Golf
Carts regulating the use of golf carts on public streets or highways within the City Limits.
Strategic Initiative: Goal #7 - Public Safety - Provide safety and security for all citizens.
Discussion: Traditionally, the operation of golf carts has been regulated by State law. State law does
allow for additional regulations to be adopted by city ordinance if so desired. This proposed ordinance
imposes additional regulations that are not necessarily covered in State law. Some of those are as
follows:
• Require headlights, tail lamps, reflectors, parking brakes, mirrors, and slow-moving vehicle
emblem (all subject to compliance inspection by police)
• An exhaust system (good working order) on gasoline powered carts
• Prohibits carts that have been altered to travel at greater than 27 mph
• Operators must have a valid Texas Driver License and abide by all traffic rules
• Prohibits operation on sidewalks, hike, and bike trails
• Prohibits operation on a street with speed limit of more than 30 mph and on streets and cart
paths currently under construction or repair
• Establishes speed limit for carts at 27 mph
• Prohibits overtaking and passing another vehicle in the same lane as the vehicle being passed
• Prohibits operation between lanes of traffic, medians, or between adjacent lines of rows of
vehicles
• Must yield to faster moving vehicles
• Passengers are limited to the seating capacity as designed by the manufacturer, and individuals
must remain seated during operation
• Generally prohibits transportation of a child younger than 4 years of age and prohibits anyone
from riding in the lap of operator or passenger
• Prohibits use of wireless communication devices in a school zone during restricted school hours
• Allows for exemptions and affirmative defenses for governmental entities, declared
emergencies, and parades

USE OF GOLF CARTS ON PUBLIC STREETS OR HIGHWAYS WITHIN THE CITY
LIMITS; PROVIDING FOR A PENALTY IN AN AMOUNT OF NOT MORE THAN TWO
HUNDRED DOLLARS ($200.00) FOR VIOLATION OF ANY PROVISIONS HEREOF BY
INCLUSION INTO THE CODE; REPEALING ALL ORDINANCES OR PARTS OF
ORDINANCES INCONSISTENT OR IN CONFLICT HEREWITH; PROVIDING FOR

WHEREAS, the Texas Transportation Code, Section 551.403 provides limited areas for operation
of golf carts in: (1) in a master planned community: (2) on a public or private beach
that is open to vehicular traffic; or (3) on a highway for which the posted speed limit
is not more than 35 miles per hour, if the golf cart is operated: (a) during the daytime;
and (b) not more than two miles from the location where the golf cart is usually
parked and for transportation to or from a golf course; and
WHEREAS, the Texas Attorney General, in opinion GA-0966 has concluded that the purpose of
driving the golf cart on the highway under 551.403(a)(3)(B) must be to transport a
person only to and from a golf course; and
WHEREAS, the Transportation Code, Section 551.4031 provides that a municipality may prohibit
the operation of a golf cart on a highway under Section 551.404 if the governing
body of the county or municipality determines that the prohibition is necessary in
the interest of safety; and
WHEREAS, Section 551.404 provides that the governing body of a municipality may allow an
operator to operate a golf cart on all or part of a highway that is (1) in the corporate
boundaries of the municipality and (2) has a posted speed limit of not more than 35
miles per; and
WHEREAS, the City Council has determined that in the interest of safety, it is necessary to
regulate the operation of golf carts on public streets and highways in the corporate
limits of Huntsville, Texas; and
WHEREAS, after receiving input from the public, staff and reviewing the current ordinance, the
City Council now desires to revise and update City golf cart regulations in the
interest of public safety:
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
HUNTSVILLE, TEXAS, THAT:
SECTION 1. FINDINGS OF FACT.
The facts and matters set forth in the preamble of this Ordinance are hereby found to be true and
correct. The City Council specifically finds that pursuant to Transportation Code Sections
551.4031 and 551.404 that in the interest of safety, it is necessary to regulate the operation of golf
carts on public streets and highways in the corporate limits of Huntsville, Texas in the interest of
public safety as set forth in this Ordinance.
SECTION 2. AMENDMENT TO THE CODE.
The Huntsville City Code, Chapter 90 "Traffic and Vehicles", is hereby amended by revising and
updating Article VII ''Regulation of Golf Carts" in its entirety as follows:
“CHAPTER 90
ARTICLE VII. - REGULATION OF GOLF CARTS
Sec. 90-201. - Definitions.
The following words, terms and phrases when used in this article shall have the meanings
ascribed to them in this section, except where the context clearly indicates a different meaning.
Golf cart as referenced hereafter shall have the meaning assigned by the V.T.C.A.,
Transportation Code §551.401, as it exists or may be amended, and includes a motor vehicle
designed by the manufacturer primarily for transporting persons on a golf course. The term, as
used herein, shall include a specific restriction that a permitted golf cart shall have an attainable
top speed of not greater than 27 mph. Specifically excluded from this definition are those
motorized conveyances commonly referred to as ATVs, NEVs, four-wheelers, mules and gators.
Operator shall mean the person operating and having physical control over the golf cart.
An operator must carry a valid Texas Drivers' License.
Owner shall have the meaning assigned by the V.T.C.A., Transportation Code
§502.001(31), and shall mean the person who has legal title to the golf cart, has the legal right of
possession of the golf cart, or has the legal right of control of it.
“Public Cart Path” shall mean an improved or unimproved path designated by sign for
the movement of a golf cart which is available for use by the general public.
Public highway shall have the meaning assigned by the V.T.C.A., Transportation Code §
502.001(35), as it exists or may be amended, and includes a road, street, way, thoroughfare, or
bridge:
(1) That is in the state;
(2) That is for the use of vehicles;
(3) That is not privately owned or controlled; and
(4) Over which the state has legislative jurisdiction under its police power.
Sec. 90-202. Required equipment regulations.
(a) Every golf cart operated within the City of Huntsville shall be equipped with all the
following equipment which shall be operational at all times: (1) headlights, (2) tail
lamps, (3) reflectors, (4) parking brakes, (5) rearview mirror(s), and (6) a slow
moving vehicle emblem clearly visible in daylight or at night from the light of
standard automobile headlamps at a distance of at least 500 feet as provided for in
§§551.404 and 547.703, respectively of the V.T.C.A., Transportation Code. Every
golf cart in operation within the City on a highway or public cart path shall be
subject to inspection by a peace officer to determine compliance with the equipment
requirements herein.
(b) Every golf cart powered by gasoline shall at all times be equipped with an exhaust
system in good working order and shall comply with all state, federal and city
regulations, specifically section 55-21 et seq. ("Noise") of the City Code.
(c) Golf carts which have been altered to allow them to travel at speeds greater than 27
mph are prohibited.
Sec. 90-203. - Operation regulations.
(a) All operators of golf carts shall be licensed to operate a motor vehicle as provided
by the Texas Transportation Code and shall carry a valid Texas drivers' license
while operating the golf cart.
(b) All operators of golf carts shall abide by all traffic regulations applicable to
vehicular traffic when using any public highway in the city.
(c) No person shall at any time operate a golf cart on any sidewalk or hike and bike
trail within the city limits.
(d) Golf carts may only be operated on a public street/highway with a posted speed
limit of not more than 30 mph or on a posted public cart path, unless otherwise
restricted. No person shall operate a golf cart at a speed greater than 27 mph at any
time in the city.
(e) At no time shall a person operate a golf cart on a street with a posted limit of more
than 30 mph. It shall be an affirmative defense to prosecution that the golf cart
operator was only crossing a street/highway with a posted limit of more than 30
mph at a perpendicular intersection to immediately access a street/highway of a
posted speed limit of 30 mph or less.
(f) Golf carts are prohibited on any public highway or public cart path, regardless of
the speed limit, on that portion of the public highway or public cart path, while
under construction or repair.
(g) The operator of a golf cart shall not overtake and pass in the same lane occupied
by the vehicle being overtaken.
(h) No operator shall operate a golf cart between lanes of traffic, medians, or
between adjacent lines of rows of vehicles.
(i) Golf carts shall move to the right and yield the right-of-way to faster moving
vehicles.
(j) The operator and every occupant of a golf cart shall be limited to the seating
capacity as designed by the manufacturer and all occupants shall remain seated in
a seat designed to hold passengers while the golf cart is in motion. The operator
shall not transport a person on a part of the golf cart not designed or intended to
transport a passenger.
(k) No operator shall allow a person to ride in the lap of the operator or any other person
being transported.
(l) No operator of a golf cart shall transport a child under the age of 4 except during
the applicable posted school zone hours or when school zone lights are active.
(m) No operator shall use a wireless communication device in a school zone during
restricted school hours.
Sec. 90-204. – Exceptions and Affirmative Defenses.
(a) Golf carts owned and/or operated for official government purposes by the City of
Huntsville or any other governmental entity are exempt from regulation by this
Code.
(b) It shall be an affirmative defense to prosecution that the operator was operating the
golf cart to evacuate persons during a declared city emergency for 72 hours after
the emergency unless otherwise ordered by the city.
(c) Parades. It shall be an affirmative defense to prosecution that the golf cart was
operated in a City approved parade route for the purpose of participating in a parade
pursuant to a valid permit issued by the City for such purpose.
SECTION 3. PENALTY CLAUSE; INCLUSION INTO THE CODE.
This Ordinance is hereby incorporated into and made a part of the Huntsville City Code.
Any person who shall violate any provision of this Ordinance shall be deemed guilty of a
misdemeanor and, upon conviction, shall be fined in an amount not more than Two Hundred
Dollars ($200.00) per offense. Each day of violation shall constitute a separate offense.
SECTION 4. REPEAL OF CONFLICTING ORDINANCES.
All ordinances or parts of ordinances inconsistent or in conflict herewith are, to the extent
of such inconsistency or conflict, hereby repealed.
SECTION 5. SEVERABILITY.
In the event any clause, phrase, provision, sentence, or any part of this Ordinance or the
application of the same to any person or circumstances shall for any reason be adjudged invalid or
held unconstitutional by a court of competent jurisdiction, it shall not affect, impair, or invalidate
this Ordinance as a whole or any part or provision hereof other than the part declared to be invalid
or unconstitutional; and the City Council of the City of Huntsville, Texas, declares that it would
have passed each and every part of the same notwithstanding the omission of any such part thus
declared to be invalid or unconstitutional, whether there be one or more parts.
SECTION 6. NOTICE BY PUBLICATION
The City Secretary shall give notice of the enactment of this Ordinance by promptly publishing it
or its descriptive caption and penalty after final passage in the official newspaper of the City; the
Ordinance to take effect upon publication.
FIRST READING held with a quorum present in accordance with Huntsville City Charter on
October 20, 2020.
PASSED, APPROVED, AND ADOPTED on second reading with a quorum present, by an
affirmative vote of a majority of Councilmembers present, in accordance with Huntsville City on

Hello, my name is Robert Ford. I am a parent, a golf cart owner, and a registered voter in Huntsville. I am also the
Chairman of the Libertarian Party of Walker County. I am opposed to and quite frankly offended by the proposed
ordinance regulating the uses of golf carts. Perhaps you've not heard of the Libertarian Party of Walker County. We are
small but dedicated group. Our mission statement is "To advance freedom and liberty across Walker County through
voluntary interaction." The reason that you probably have not heard about us before is because our job has been very
easy so far. The good people of Huntsville are proud to enjoy the freedom of self accountability and personal
responsibility. While we are thankful for the gesture, we outright reject even the notion that we need you and the city
council to protect us or our children from ourselves. Some of us feel like this proposed ordinance is a power flex under the
guise of "safety." Whether or not your intentions are true makes no difference. We urge you to reject this proposal and in
it's place draft a resolution forbidding such regulations from being purposed in the future. Beyond the erosion of our
freedom to self accountability and personal responsibility, you must also look at the unintended consequences of this
ordinance. As you well know The Elkins Lake subdivision is home to many elderly residents, some of whom may no
longer drive a car, but are comfortable driving a golf cart to the cafe or post office. Many people own golf cart that are not
equipped with the features the ordinance would require. Many of those people may not be able to afford upgrades. Are
only those people affluent enough to afford an expensive high end golf cart to be allowed the privileged uses of our public
roads? Or what about my 2 year old daughter Zoey, who's face lights up every Sunday morning when we take a golf cart
ride to the clubhouse for breakfast. Will you be the mean person who takes that away from her? Will you be the person
that tells us you know what is better for us than we do?
As Benjamin Franklin said "Those who would give up essential Liberty, to purchase a little temporary Safety, deserve
neither Liberty nor Safety."

Good morning,
I would like to address my concerns regarding the proposed golf cart ordinance.
This ordinance is going to be a disaster. I see college students bringing their golf carts to Huntsville and using them all
over the city. The city, proper, is not the place for golf carts. I understand it is okay to use them around Elkin's Lake and
maybe that is why this is in play, however, college students will also be bringing theirs into town and running them up and
down the streets as opposed to using their vehicles.
This ordinance will be a disaster to Huntsville, should it be passed. While those who live in Elkin's Lake probably need
this, the rest of Huntsville does not. Can you imagine golf carts all over town and all the problems it will cause.
It is very obvious that Elkin's Lake is wanting this due to the high golf cart traffic out there. As the rest of Huntsville goes,
please do not pass this ordinance. Nothing good for the city will come from this.

support program in connection with the COVID-19 public health emergency, first reading.

Recommended Motion: Move to temporarily suspend the rules of procedure waiving the two-reading
requirement and to authorize the City Manager to spend $375,000 to establish an economic support
program in connection with the COVID-19 public health emergency.
Strategic Initiative: Goal #3 - Economic Development - Promote and enhance a strong and diverse
economy.
Discussion: Congress passed the Coronavirus Aid, Relief, and Economic Security (CARES) Act on March
27, 2020 to provide much needed resources to help governments, businesses, and individuals respond
to the current pandemic. Within the CARES Act, the Coronavirus Relief Fund (CRF) was established to
provide financial resources to state and local governments impacted by the pandemic. The State of
Texas cumulatively received approximately $11 billion from the U.S. Treasury. Most of the funds
distributed went to 18 territorial jurisdictions within the state with populations exceeding 500,000 and
slated to receive direct distributions from the U.S. Treasury. Other jurisdictions, like the City of
Huntsville, that did not meet the territorial population requirement are to have their fund distributions
managed by the Texas Division of Emergency Management (TDEM).
Based upon a per capita rate of $55 and data estimates from the 2018 U.S. Census, the federal
government allocated to the City of Huntsville $2,279,915 from the Coronavirus Relief Fund. This is a
reimbursement program which requires no local match or cost share.
The CRF Program requires that:
Funds be used to only cover costs that:
• Are necessary expenditures incurred due to the public health emergency with respect to the
Coronavirus Disease 2019 (COVID-19);
• Were not accounted for in the budget most recently approved as of March 27, 2020; and
• Were incurred during the period that begins on March 1, 2020 and ends on December 30, 2020.
Eligible expenditures are to include, but are not limited to, payment for:
1. Medical expenses;
2. Public health expenses;
3. Payroll expenses for public safety, public health, health care, human services, and similar
employees whose services are substantially dedicated to mitigating or responding to the
COVID-19 public health emergency;
4. Expenses of actions to facilitate compliance with COVID-19 related public health measures;

5. Expenses associated with the provision of economic support in connection with the COVID-19
public health emergency; and
6. Any other COVID-19 related expenses reasonably necessary to the function of government that
satisfy the fund’s eligibility criteria.
As a condition of receiving these relief funds, the Program requires that the City use 75 percent of the
allocation in the categories of 1, 2, and 3 (i.e. - medical expenses, public health expenses, and payroll
expenses for employees substantially dedicated to mitigating or responding to the public emergency).
The remaining 25 percent of the allocation can be used in the other areas identified above in 4, 5, and
6. Because of the testing partnership with Walker County and the Hospital District and because of
reimbursement of public safety salaries, the City has met the 75 percent threshold for all of the
allocated funds.
As small businesses in Huntsville continue to suffer financial fallout due to the coronavirus pandemic,
the City of Huntsville seeks to provide financial assistance through a COVID-19 Small Business Resource
Grant. The program is designed to provide funding for small businesses to cover their economic
damages suffered as a direct result from COVID-19. Staff is recommending setting aside $400,000 from
the original allocation received to establish a business assistance grant program.
The grant would provide financial relief grants in amounts up to $10,000 to businesses who meet the
required criteria and have sustained economic losses as a result of COVID-19. No business is guaranteed
to receive grant funds.

The programs timeline is structured in compliance with TDEM’s program parameters to meet a
deadline for liquidation of December 15, 2020. The Council’s Rules of Procedure necessitate two
readings of this item because it is over $300,000. Because of the short timeline for compliance with
TDEM’s program parameters, staff recommends the waiving of the two-reading requirement.
Previous Council Action: Council approved Resolution 2020-22 on June 2, 2020 authorizing submission
of the CRF application to TDEM and authorizing the City Manager to act as the City’s CEO and
representative in all matters pertaining to the City’s participation in the CRF Program.
On August 4, 2020 Council authorized the City Manager to enter into an interlocal agreement for
professional services with Walker County Hospital District to administer a COVID-19 Community
Testing Program for residents of the City of Huntsville not to exceed $1,000,000.

Background
In response to the adverse economic impacts of the COVID-19 pandemic, the City of Huntsville
is offering COVID-19 Small Business Resource Grants. The grant program provides grants for
businesses that have been significantly impacted by the pandemic and that generate sales tax.
As small businesses in Huntsville continue to suffer financial fallout due to the coronavirus
pandemic, the City of Huntsville seeks to provide financial assistance through a COVID-19 Small
Business Resource Grant. The program is designed to provide funding for small businesses to
cover economic damages suffered as a direct result from COVID-19. The City of Huntsville has
allocated funding of $375,000 to establish a business assistance grant program
The grant would provide financial relief in amounts up to $10,000 to business who meet the
required criteria and have sustained economic losses as a result of COVID-19. No business is
guaranteed to receive grant funds.

o Copy of Texas Secretary of State Certificate of Filing. If sole proprietor, please
provide documentation on when the business was started.
o Business financial statements to include profit and loss statement and balance
sheet for Mar, April and May 2020.
o Company’s W-8 form.
o Verification showing payment for business ad valorem and personal property tax
to the Walker County Appraisal District in 2019.
o Texas Comptroller of Public Accounts sales tax statement for March 2020 or
most recent filing.
Evaluation Criteria
A review committee will be established by the City of Huntsville to review the applications. A
business’ year over year change in revenue between March-May 2019 and March-May 2020
and the impacts from the pandemic will be a significant influencing factor in determining
whether funding will be provided. The evaluation committee reserves the right to conduct an
interview with any applicant to clarify questions around the business, its history or any other
item in the application (either in person or virtually).

Strategic Initiative: Goal #4 - Infrastructure - Ensure the quality of the City utilities, transportation and
physical structures so that the City’s core services can be provided in an effective and efficient manner.
Discussion: Texas Department of Transportation (TxDOT) has completed the design to widen IH-45 for
the segment between SH-19 at the south end to approximately near Eastham Drive at the north end
(known as IH-45 Segment 2A).
Before IH-45 Segment 2A widening construction can begin, TxDOT is ensuring that all existing utilities
that are in conflict with IH 45 Segment 2A widening work are relocated. Current TxDOT timeline for
letting IH-45 Segment 2A Widening project for construction is July/August 2021. The City has several
waterline and sanitary sewer line segments within the TxDOT Right-of-Way in the IH-45 Segment 2A
Widening project limit that are needed to be relocated to remove potential conflict with highway
construction and to provide necessary clearances to the new roadway surfaces. See the attached
location map that shows the segments of waterline and sanitary sewer line to be relocated.
Upon TxDOT’s initiation with the City during June / July 2018 to begin water and sewer utility relocation
design, the City retained RPS Infrastructure, Inc. (RPS), Houston, TX for providing professional
engineering services consisting of detail engineering design, bidding, construction administration, daily
construction inspection and TxDOT Coordination for the utility relocation project. After extensive
coordination with TxDOT over the last two years, utility relocation design was completed and was
advertised on October 23, 2020 soliciting bids for project construction. The City’s utility relocation
design also consists of up-sizing waterlines and sanitary sewer lines in several locations. The upsizing is
necessary to accommodate anticipated future growth.
Notice to Bidders was posted on the Huntsville Item and the City of Huntsville websites. Also, the notice
was posted on the Electronic State Business Daily (ESBD) and Public Purchase websites. Hard copies of
the bid documents were available for review at the Service Center.
A non-mandatory pre-bid meeting was held on November 4, 2020, to allow all responders access to the
City staff for questions, comments, and clarifications on the scope of work. The bids were opened on
November 10, 2020. Two (2) bidders submitted bids for this project. The certified bid tabulation is
attached. 5-T Utilities, Inc., Huntsville, TX is the low bidder with a bid amount of $5,615,884.06.
5-T Utilities has successfully completed several City of Huntsville water and sewer infrastructure projects
over the last 20 years.

The construction contract period will be one hundred and eighty (180) calendar days from the date of
the Notice to Proceed (NTP). The NTP is scheduled to be issued effective sometime in early January
2021. The utility relocation project construction is anticipated to be complete by end of July 2021.
The cost of utility relocation design and construction for all relocations with similar sizes and types etc.
as existing ones is 100% reimbursable by TxDOT (termed “In-Kind Replacement”). Upsizing of water and
sewer at City’s choice to accommodate future growth will be considered as “Elective Betterment” by
TxDOT, and the increased cost for such upsizing shall be met by the City. Based on the finalized design
and the TxDOT utility agreement (currently in process for full execution), In-Kind Replacement is at 88%
of the total design and construction cost (will be reimbursed by TxDOT) and Elective Betterment is at
approximately 12% of the total estimated cost (to be borne by the City).
Professional engineering services cost (services provided by RPS) is $616,676.70. Of this amount, TxDOT
will reimburse approximately $543,000 (88% In-Kind Replacement Cost) and the City’s cost will be
approximately $74,000 (12% Elective Betterment).
Construction cost will be $5,615,884.06 (when the contract is awarded to 5-T Utilities). TxDOT will
reimbursement approximately $4.942,000 (88% In-Kind Replacement cost) and the City’s construction
cost will be $674,000 (12% Elective Betterment).
The City has already set aside a total amount of $1,100,000 in the last two fiscal year budgets (FY 2018-
2019 and FY 2019-2020) to meet the City’s design and construction share due to up-sizing of lines (i.e.,
to meet the costs of Elective Betterment).
Previous Council Actions:
a) The City Council approved the Engineering agreement with RPS Infrastructure, Inc. at the August
2, 2018 meeting.
b) Amendment A to the original RPS agreement was approved at the February 19, 2019 meeting.
c) Amendment B to the original RPS agreement was approved at the September 1, 2020 meeting.
d) The City Council authorized the City Manager to enter into a Utility Agreement with TxDOT for
cost reimbursement at October 6, 2020 meeting.

the above-referenced project. A Bid Tabulation was prepared and is attached for your reference. As
indicated in the attached bid tabulation, 5-T Utilities, Inc. was the lowest bidder with a base bid price of
$5,615,884.06.
The engineer’s estimate of $5,935,784.00 was 6% higher than the lowest bid price. The bid distribution is
considered appropriate with the second bidder being $5,902,480.00 or 5% higher than the low bid.
We have ranked the Contractor's bid prices from lowest bid to highest bid in Table 1 below:

After careful review of the bid prices and summation of total cost for each bid, there were no mathematical
errors.

received positive feedback related to schedule and quality of work. RPS has also worked with 5-T Utilities,
Inc. on a recent project for Huntsville in 2018 that was under budget with a minimal amount of change
orders. 5-T Utilities, Inc. has successfully completed various utility projects of similar size for many municipal
clients in the region.
Based on our evaluation, the lowest bidder appears to be responsible and responsive. We recommend that
the contract be awarded to the low bidder, 5-T Utilities, Inc.

Strategic Initiative: Goal #4 - Infrastructure - Ensure the quality of the City utilities, transportation and physical
structures so that the City’s core services can be provided in an effective and efficient manner.
Discussion: Texas Department of Transportation (TxDOT) is working on the design to widen IH-45 from
approximately 0.9 miles north of State Hwy 30 (more or less near the Home Depot location) to approximately
the City limit line south of FM 1696 (overall length is approx. 4.7 miles). This segment is termed IH-45 Segment
2B. TxDOT has scheduled letting IH-45 Segment 2B widening project construction for September 2023. TxDOT
has asked all agencies that have existing utilities in their IH-45 Segment 2B corridor to design and relocate
sections of utilities that conflict with widening project by their letting September 2023. The City has water and
sewer lines along and across this IH-45 Segment 2B.
The cost of water and sewer line relocation designs and construction for all relocations utilizing the same size
pipes, valves, etc. as existing ones (termed “In-Kind Replacement”) is 100% reimbursable by TxDOT. Upsizing of
pipes and other associated appurtenances that the City would opt for as part of relocation will be considered as
“Elective Betterment” and the increased cost for such upsizing shall be met by the City.
Based on the proposed preliminary design data provided by TxDOT for IH-45 widening, the City staff has
estimated “In-Kind” utility replacement cost (which will be reimbursed by TxDOT) to be $6.3 million. “Elective
Betterment” cost (the City’s cost) based on the up-sizing options that the City has chosen to meet the City’s
future needs is currently estimated at $0.6 million.
Considering above conceptual cost estimates, TxDOT and City cost participation ratios for design and
construction are anticipated to be approximately: 90% TxDOT and 10% City.
TxDOT has provided Utility Agreement forms to the City. Utility Agreement will be ready to execute when utility
relocation design plans and detail cost estimates are available. Staff will present Utility Agreement to the Council
upon the completion of the utility relocation design, which is anticipated to be in Spring 2022. Construction of
utility relocation work will begin only upon execution of Utility Agreement with TxDOT.
To proceed with the utility relocation design, the City has obtained scope and fee proposal from RPS
Infrastructure, Inc. (RPS). RPS is best suited to provide professional engineering services for utility relocation
design and construction support services RPS has worked on and completed similar utility relocation design for

RPS fee proposal for professional engineering services for IH-45 Segment 2B Utility Relocation project (surveying,
engineering design, TxDOT Coordination, construction administration, daily construction inspections, and overall
project management) is $642,500. As stated above, TxDOT is expected to reimburse 80% of this professional
engineering fees. Exact percentage of reimbursement will be known only at the completion of the design (Spring
2022).

Proposal for IH-45 Segment 2B Utility Relocations
Dear Mr. Ramachandra:
Thank you for the opportunity to provide professional engineering services to the City of Huntsville
(City). This proposal provides a detailed scope and fee of engineering services to evaluate and relocate
water lines and sanitary sewer infrastructure identified that conflict with the future widening and
reconstruction of IH-45 Segment 2-B as shown in the attached Exhibits.
BACKGROUND
The Texas Department of Transportation (TxDOT) will be widening and reconstructing IH-45 from just
north of SH 30 to approximately the city limit line south of FM 1696 for a total length of reconstruction
of 4.7 miles. The letting date for IH-45 Segment 2B Reconstruction is scheduled for September 2023.
The City has retained RPS to help identify utility conflicts, design the relocations, and assist in managing
construction. RPS utilized schematic level drawings provided by Jacobs Engineering, existing utility
information provided by the City, and subsurface utility exploration (SUE) data provided by the IH-45
Design Team to help determine the existing utilities that require relocation as a result of the IH-45
Segment 2B Widening and Reconstruction Project. The total preliminary in-kind construction cost is
approximately $6.3 million for the approximately forty-one (41) utility conflicts with a proposed
betterment cost of $6.8 million. RPS will upsize the proposed utilities as requested by the City for
future development flows. The proposed utility relocations are as follows:

ASSUMPTIONS
The project scope is based on the assumptions identified below.
1. If is it determined during the preliminary phase that there are any additional utility relocations not listed
above, RPS will submit a separate proposal for additional services for the design of the proposed work.
2. The geotechnical report and topographic survey from the IH-45 Segment 2B project will be utilized for
the design of the utility relocations.
3. If additional survey, utility easement, or geotech are required, the City will provide or assist in
coordinating with IH-45 Design Team.
4. RPS will review the 2016 Water and Wastewater Condition and Capacity Assessment Study by Freese
& Nichols to review proposed improvements within the project area.
5. The City will provide studies, plans, and details of all water line and sanitary sewer infrastructures that
may be helpful in design of this project.
6. The City will provide the materials testing during construction.
7. During the Bid Phase, the City will manage the distribution of bid documents and maintain a bidders list.
The City will advertise the project in a local newspaper and on their website.

SCOPE OF BASIC SERVICES
RPS is prepared to provide the following basic services to the City of Huntsville:
Task 1 - Project Management and Coordination
1. Attend coordination meetings with the City and design team members. It is anticipated that there will be
no more than five (5) coordination meetings throughout the project design. All other coordination will
occur via email or phone conferences.
2. Attend up to two (2) City Council meetings as requested by City Staff.
3. Project Management will include documentation/records along with task management and workload
scheduling. RPS will also complete progress reports, prepare project scheduling, coordinate internal
meetings, and prepare meeting summaries.
Task 2 - Preliminary Design
1. Conduct one (1) field visit to take site photos and gather information pertaining to existing conditions.
2. RPS will assist the City in review the documentation provided by the IH-45 Design Team to document
and confirm all utility relocations within the proposed project limits.
3. Utilize existing utility drawings, schematics, studies and as-builts provided by the IH-45 Design Team to
prepare preliminary drawings for the utility relocations. RPS will provide the final design criteria
utilized for the design of the proposed improvements that satisfies all stake holders.
4. RPS will prepare a preliminary construction cost estimate.
5. RPS will submit the preliminary drawings to the IH-45 Design Team for review. The drawings will be
considered 30% complete.
6. Meet with City of Huntsville at the end of the preliminary phase to discuss preliminary design drawings
and review comments.
7. RPS will address comments from the City and IH-45 Design Team at the following 60% milestone
submittal.
Task 3 - Final Design
1. Prepare full sized (22”x34") drawings at a scale of 1” = 20’ and submit to the City for review and
comment. Submittal milestones will include 60%, 95%, and 100%.
2. Table of contents of the project manual will be submitted at the 60% milestone.
3. Prepare updates to the construction cost estimate at the 60%, 95%, and 100% milestones.
4. RPS will prepare and submit TxDOT utility permits through the TxDOT Utility Installation Review
(UIR) system at each location.
5. List of design sheets will include:
a. Cover, Index and General Notes Sheet (3)
b. Survey Control and Project Layout (5)
c. Plan and Profile Sheets (40)
d. Traffic Control Sheets (3)
e. Typical SWPPP and details (7)
1) Specific details for vulnerable locations may be required to avoid possible TCEQ notices.
f. Standard Detail sheets (3)
6. Draft project manual with standards, specifications, bid tabs, permit requirements for bidding and
utilizing the city modified EJCDC Contract Documents will be submitted at the 95% milestone.
7. We will submit final CAD files to the City in AutoCAD Civil3D version 2017.

Task 4 - Right-of-Way Analysis
1. RPS will receive the CAD files of the right-of-way maps from Jacobs. RPS will review and clean up the files
as needed.
2. RPS will identify all of the City’s easements identified and place into the following categories:
a. An existing utility is located within an existing City easement and will move out due to a proposed
utility relocation. The result will be a quitclaim with TxDOT.
b. An existing utility is located within an existing City easement and does not require relocation. The
result will be a Joint Use Easement with TxDOT.
c. An existing utility is already located with TxDOT right-of-way therefore no change.
3. RPS will prepare an exhibit showing all City easements and scenarios for review and confirmation.
4. RPS will assist the City to complete Attachment H within the agreement with TxDOT.
5. RPS will coordinate with all stake holders.
Task 5 - Bid Phase Services
1. Provide an electronic copy and four (4) hard copies of Bid Documents to the City Purchasing Manager.
2. Participate in the pre-bid conference for prospective bidders.
3. Receive, review and answer questions received from plan holders and issue addenda as required.
4. Attend bid opening.
5. Check bids for errors, responsiveness and tabulate results.
6. Review the qualifications of the apparent low bidder.
7. Issue a recommendation for Award.
8. The City will compile contract documents, obtain necessary signatures and send executed contract to
the Contractor.
Task 6 - Construction Phase Services and Construction Management
Construction is estimated to be approximately twelve (12) months for substantial completion. RPS will
provide the following services during the construction of this project:
1. We will facilitate the pre-construction meeting, prepare agenda and meeting notes.
2. Review and take appropriate action on contractor submittals.
3. Respond to contractor’s requests for information (RFIs) by email.
4. Manage change order requests and make recommendations.
5. Review monthly Pay Estimates submitted by Contractor.
6. RPS will schedule and conduct construction progress meetings and provide meeting minutes for
distribution. It is anticipated that progress meetings will occur every four (4) weeks to review work
progress and schedule, outstanding issues, status of submittals, responses to shop drawings, and any
changes to the work.
7. RPS will maintain records of all decisions, actions, and activities with regard to construction operations
(change orders, RFIs, submittals, RFPs, and as-built coordination).
8. RPS will be responsible for communication between the City, TxDOT, roadway engineer, other
stakeholders and the contractor regarding all construction operations.
9. Along with the City and Contractor, attend one (1) inspection at Substantial Completion; prepare
punch list and one (1) final inspection. Contractor is responsible for submitting to City of Huntsville,
Notification of Substantial Completion and Final Acceptance, and TCEQ NOI/NOT forms.

Task 7 - Inspection Services
1. RPS will act as the Client’s on-site representative administering the contract for construction and providing
overall project oversight while maintaining record of decisions and changes made in the field.
2. RPS will verify and ensure that the Contractor maintains accurate as-built records.
3. RPS will prepare and maintain weekly progress reports to the Client, photographs, records, and track
quantities.
4. RPS will notify the Client if Contractor’s work is not in compliance with the Contract Documents.
5. Attend the substantial and final completion walk through with the Contractor.
