Hunteville,held at the office of the City Secretary on the 4th day of Lpril,1919,upon motion
duly made and seconded p resolution was adopted in words and figures in substance as follows;
"Wheregs,sri assooiatdon ban been formed and chartered under the laws of the State of Texas
under the name Of Osl !and Cemetery Association of Huntsville; and
Whareas,said Oakwood Cemetery Association,aoting by and through its Board of Directors
represents to this body that In order to successfully maintain,operate and control the
grounds and promises which will dome under the sare of said association it will be neoes-
sary for the said association to have title to all grounds now being need for burial pur-
poses for whits people in the enclosures now in the City of Huntsville;and
Whereas,it this Conaoil is of the opinion that the petition of said association should
be granted;
Now',therafore, be it resolved by the City Council of the City of Huntavilla,that the
Mayor of said City be and he is hereby directed to prepare,execute and deliver to said
Oakwood Cemetery Association a dead of conveyance of all the right,title and interest now
owned and held by the said City. of Huntsville in and to the following desoribed property,
to-wit:

resolution,and made a part thereof as the Old Cemetery and New Cemetery,- said property
lying North of and-adfaoent to Ninth Street and East of the W 0 H Gillespie property and
nest of Avenue 2 and South of the property owned by W A Leigh and W 0 H Gillsapie,aaid
two tracts and parcels of land designated as Old Cemetery and Now Cemetery on said plat
being separated by a narrow strip of land designated on said plat as Negro Cemetsry.whioh
said strip ofland is not intended to be covered and is not covered by this conveyanoe,but
is expressly excepted from the same.
To have and to hold the above described premises,together with all and singular the
rights and privileges thereto in anywise belonging unto the said Oakwood Cemetery Asso-
ciation of Huntsville.Texaa,its successors and assigns forever.
Said property is expressly oonveyed to said Oakwood Cemetery Association for the pur-
pose of maintaining said promises as a cemetery and for the purposes of sepulturs for
white people,and it is expressly stipulated hereby and this stipulation is to be a cove-
nant running with the land,that said premises shall be used for the purpose of aspuiturs
for white citizens only and said property shall be held and maintained by said Associa-
tion as a cemetery for whits people aloaa;and in the event the said Oakwood Oematery
Association,its successors or assigns should at any time hereafter fail or refuse to
maintain said property as a *amatory and as a burying place for the white people of the
City of Hunteville.and the obligation to furnish a burying ground or sepulture should
thereupon devolve upon the City of Huntsville,then said property &hall revert and belong
to the City of Huntaville,and all the right,titls,and interest of said Oakwood Cemetery
Association of Huntsville,Texas,its successors and assigns in and to said property shall
terminate.

ville and have caused the corporate seal of said City to be hereunto annexed by the City

said Oakwood Cemetery Association, its successors and assigns, against the lawful
claims of every person claiming or to claim the same or any part thereof.

control of said Oakwood Cemetery Association; but when said trees and natural

said Memorial Park Addition, at any place to be selected by the rarties of the First
Part,and that said Parties of the First Part may themselves be burled within said Memorial

any other direct descendants and their families of the said Fartles of the First Part, at their
option, may be buried within said Memorial Park Addition.

except and to the extent only as herainabove specified with reference to burials in

That Oakwood Cemetery A.ssociation, a corporation duly

organized and existing under the Laws of the State of Texas, with i
its domicile at Huntsville, Walker County, Texas, acting herein by
Mrs. C. A- Randolph, Its President, who is hereunto duly authorized,
in consideration of the sum of ONE' HUNDRED FIFTY & NO/100 ($150.00)
DOLLARS to it in hand paid by Ben Fr. Powell, the rt oeipt whereof is
hereby acknowledged, have granted, sold and conveyed, and by these

presents do great, sell and convey, for the purposes and under the
conditions hereinafter set out, unto the said Ben H. Powell, his
heirs and assigns, the following described properties, to-wit:
FIRST
All that certain tract, piece or parcel of land, being out
of and a part of the East Addition to Oakwood Cemetery, according
to the map and plan thereof, in the P. Dray League, Abstract No. 24,
Walker County,. Texas, more particularly described as follows, to-wit;
BEGINNING at the Northeast corner of 'Block 15;
THENCE Nest with the North boundary line of said
Block 15 and its extension to the Northeast corner of
Lot 1 in Block 16 and with the North boundary line of
said Lot 1 in Block 16 to its Northwest corner;
THENCE North with the continuation of the West
boundary line of Lot 1 in Block 16 and the East boundary
line of Lot 2 in Block 16 to the North boundary line of
said East Addition to Oakwood: Cemetery, and being a point
on the South boundary line of lends heretofore deeded by
Ben R. Powell and his wife to Oakwood Cemetery Assocation
as a Memorial Park Addition thereto in memory of their son,
Rowley Rather Powell;
THENCE in a Southeasterly direction with the South
boundary line of said Sowell Memorial Park addition to said
Cemetery to a point thereon where a continuation North of
the East boundary line of Block 15 intet`sects the North
boundary line of the East Addition to Oakwood Cemetery;
THENCE south to the place of beginning.
The property just above described is being conveyed to
the said Ben H. Powell, his heirs and assigns, with the distinct
understanding that it is to be used only as a walkway and place where
the public may gather and enjoy the surroundings adjacent thereto.
A.nd, this conveyance of said tract of land is made on the condition
that neither said land, nor any part thereof, be used as a burial

Cemetery Association, its successors or assigns shall, of its ocvn:' ' '
accord, have executed in writing an instrument relieving said land
of this restriction against its being used for burial purposes.
SECOND
All of that tract, piece or parcel of land, being out of
and a part of the East Addition to Oakwood Cemetery according to
the map and plan thereof, in the P. Gray League, .Abstract No. 24,
Walker County, Texas, and more particularly described as follows,t'<S'+0*1V:
BEGINNING at a point 17* feet South of the Southwest
corner of Lot l In Block No: 13 in said Cemetery;
THENCE due North with the West boundary lines of
Blocks 13, 14 and 16, and acwoss the intervening alleys

IS: in said cememery, to a point in the Soiith line of the
tract first hereinabove conveyed to said Ben H. Powell;
THENCE west, with. said South line of the tract first
hereinabove conveyed, to the Northeast corner of Block 16
in said Cemetery;
THENCE' South with the East line of Blocks 16, 17 and
18 in said Cemetery, and across the intervening alleys or
driveways between Blocks 16 and 17 and Blocks 17 and 18 to
a point 17j feet south of the Southeast corner of Lot I in
Block 18;
THENCE in a Northeasterly direction to'the place of
beginning, and the land herein btaing• described being used
at this time as a public driveway and walkway in said
Cemetery, and being 10 feet in width, East and Nest, and
about 163J feet in length, North and South.
The property Just above described, and being the second
tract conveyed in this instrument, is conveyed, for the sole purpose
of being used by the said Ben H. Powell, his heirs and assigns, as a
driveway and walkway, along frith other members of the public who may
desire to use said premises in the same way; and, the said Oakwood
Cemetery Association has granted and conveyed, and by these presents
does grant and convey, unto the said Ben H. Powell, his heirs and
assigns, the free and uninterrupted ,-use, liberty, privilege and ease-

ment of passing in, along and over, on foot, or in any kind of con-
veyance, tha tract of land just above described herein as the second
tract being, conveyed, and said easement privilege to remain in full
force and: effect forever.
' TO HAVE AND TO HOLD, all and singular the easement rights
and privileges aforesaid, unto him, the said Ben H. Powell, his heirs
and assigns, forever, subject to the fallowing condition:
Tt is understood that in granting unto the said Tien H.
Powell, his heirs and assigns, the perpetual easement rights over
the second tract of land described in this conveyance, said Oakwood
Cemetery Association also agrees and binds itself to give unto the
said Ben H. Powell, his heirs and assigns, free ingress, egress and
regress to and from the said second tract of land herein described -
that is to say, the Oakwood Cemetery Association, at this time, has
dedicated certain driveways which enter the South end of the second
tract of land herein conveyed. Should the Oakwood Cemetery Associa-
tion, its successors or assigns, hereafter, for any reason, abandon
the use of other driveways, running at this time from the South and
East Gates of the said East Addition to Oakwood Cemetery, and thereby
cutting off the said Ben H,.-Powell, his heirs or assigns from the
further use of the second tract of land hereinabove described for
the purposes hereinabove mentioned, then it is understood and agreed
that the said second tract of land shall revert to the said Ben H.
Powell, his heirs or assigns, and shall become their property in fee
simple, to use as they please.
It is also understood and agreed that the cash consideration
first hereinabove mentioned also includes a perpetual endowment from
which the Oakwood Cemetery Association, its successors and assigns,
will provide annual care of the two tracts of land hereinabove des-
cribed.
TO HAVE AND TO HOLD the above described property, premises
and improvements, for the purposes specifically set out herein, and
under the conditions enumerated above, unto the said Ben H. Powell,
his heirs and assigns, forever.
